1. Acceptance of Terms
These terms form a binding agreement once a person uses the website or engages the studio. Use includes browsing the pages, submitting an enquiry, downloading a file or commissioning work. Engagement includes any written or verbal instruction to begin a project, whether that instruction arrives by email, by telephone or through the contact form.
If a person accepts these terms on behalf of a company or another organisation, that person confirms that they have the authority to bind that organisation. In that case the words you and your refer to the organisation as well as to the individual.
Where a separate signed agreement exists between the studio and a client, that agreement takes precedence over these terms for the project it covers. These terms then fill any gap the signed agreement leaves open.
2. The Services We Provide
BVenture Media LLC operates a post-production cutting room. The services include narrative film editing, commercial spot finishing, color and sound post, documentary assembly, social media cutdowns and archive digitization. The studio may add, adjust or retire a service over time, and the current list is published on the services page.
The studio performs its work with reasonable skill and care, using professional tools and established methods. The company describes what it will deliver before work begins so that both sides share the same expectation about scope and result.
The website and its descriptions are provided for information. A description on the website does not by itself create an obligation to deliver a specific outcome unless that outcome is written into the agreed scope of a project.
3. Eligibility and Authority
The services are intended for businesses and adult professionals. A person who uses the website or engages the studio confirms that they are at least the age of majority in their jurisdiction and that they are legally able to enter into a contract.
A person who submits material for finishing confirms that they hold the rights needed to do so, or that they have the permission of the rights holder. The studio may ask for written confirmation of that authority before it begins work on any material that it does not own.
The studio may decline a project where the required authority is missing, where the material appears to infringe the rights of another party, or where the work would conflict with the professional or legal obligations of the company.
4. Quotations and Estimates
A quotation sets out the price for a defined scope of work. An estimate is a good faith projection and may change if the scope changes. Unless a quotation states otherwise, it remains valid for thirty days from the date it is issued.
A quotation rests on the information available when it is prepared. If the material turns out to be longer, more complex or in a worse condition than described, the studio will explain the difference and provide a revised quotation before continuing. No additional charge is made without the agreement of the client.
All amounts are stated in the currency shown on the quotation. Where taxes, duties or levies apply, they are added as required by law unless the quotation states that they are included.
5. Project Terms and Scheduling
A project begins when a client accepts a quotation and provides the material to be finished. The studio then reserves a seat on the bench for the agreed dates. Scheduling is confirmed in writing so that both sides know when work starts and when the deliverable is due.
If a client delays the delivery of material, feedback or approval, the schedule may shift. The studio will make reasonable efforts to recover the time, but a material delay may require the booking to be moved or the scope to be adjusted.
Deadlines are met when the studio delivers the agreed master by the agreed date. Where a project depends on an external party, such as a broadcaster, a platform or a distributor, the studio is not responsible for that party, though it will help to resolve an issue wherever it can.
6. Client Material and Ownership
A client keeps ownership of all material it supplies to the studio, including raw footage, audio, graphics, scripts and any other asset. The client grants the studio a limited licence to store, copy, process and edit that material for the sole purpose of performing the agreed work.
That licence ends when the project is complete and the material has been returned or removed according to the agreed storage terms. The company does not use client material for any other purpose, does not publish it, and does not share it without permission.
The client is responsible for the content of the material it supplies. The client confirms that the material does not break any law, does not infringe the rights of another party and does not contain anything the client is not entitled to use.
7. Deliverables and Specifications
The studio delivers a finished master in the format and to the specifications agreed for the project. Specifications usually cover resolution, frame rate, colour space, audio layout and any platform specific file requirements. These details are recorded before work begins.
Where a platform changes its specification after a project has started, the studio will advise on any adjustment needed. A significant change to a deliverable may be treated as a new scope and may carry an additional charge, which would be agreed in advance.
The studio keeps a record of every delivered master, including a checksum, so that a copy can be compared against the original if a question ever arises about the integrity of a file.
8. Fees, Invoicing and Payment
Fees are set out in the accepted quotation. Unless the quotation states otherwise, an invoice is issued on completion of the work or in stages for a longer project. Payment is due within the period stated on the invoice.
A deposit may be required before a booking is confirmed. The deposit secures the bench for the agreed dates and is applied against the final invoice. If a project is cancelled within the period stated in the quotation, the deposit may be retained to cover the reserved time.
Overdue amounts may delay the release of a final deliverable and may attract interest at the rate permitted by law. The studio would rather resolve a difficulty early than escalate it, so a client who expects a delay is invited to make contact as soon as the problem appears.
9. Revisions and Change Requests
The scope of a project includes the number of revision rounds stated in the quotation. Within that scope, the studio works with the client until the cut is right. A revision round is a consolidated set of notes, which keeps the process clear and avoids conflicting instructions.
A request that falls outside the agreed scope is a change request. The studio will explain the effect of the request on cost and schedule, and will proceed only once the client agrees. This protects the client from an unexpected invoice and protects the studio from open ended work.
Once a master has been approved in writing, a later change is treated as a new task. The studio keeps the project files for the agreed storage window so that such a change can be handled efficiently rather than rebuilt from the beginning.
10. Media Storage and Return
The studio stores project media for the window agreed with the client. During that window the client may request the return of the material or a further revision. At the end of the window the studio will confirm the position in writing.
Where a client asks for the removal of material, the studio will delete the copies it holds and confirm that the removal is complete. Where a client asks for the return of material, the studio will deliver it on a suitable carrier or through a secure transfer.
Storage beyond the agreed window may be offered for a fee if the client wishes to keep the material on the shelf for a longer period. The condition of the material during extended storage is maintained to the same standard as during the project.
11. Intellectual Property
The website, its text, its layout and its code belong to BVenture Media LLC and are protected by intellectual property law. A visitor may view the site and print a page for personal reference, but may not reproduce, republish or resell the content without written permission.
The finished master delivered to a client becomes the property of the client on full payment, to the extent permitted by the underlying rights in the material. The studio retains no claim over the final cut beyond the right to be paid for the work that produced it.
The studio retains ownership of its own tools, templates, presets and internal documentation. These are used to perform the work but are not part of the deliverable and are not transferred to the client.
12. Acceptable Use of the Website
The website may be used for lawful purposes only. A visitor must not attempt to gain unauthorised access to any part of the site, must not interfere with its normal operation and must not use it to distribute malicious code, spam or unlawful material.
Automated scraping of the website is not permitted without written consent. The company invests in the content it publishes and asks that it not be harvested for use elsewhere.
The studio may restrict or block access where it believes the website is being misused. Such a step is taken to protect the site and its visitors rather than to limit legitimate enquiry.
13. Confidentiality
The studio treats client projects as confidential. Unreleased material, scripts, business plans and pricing are not disclosed to third parties except as needed to perform the work or as required by law. Members of the team who see confidential material are bound by the same duty.
A client may ask the studio to sign a separate confidentiality agreement before sharing sensitive material. The company is happy to do so and will work within the terms of that agreement for the duration of the project.
The duty of confidentiality continues after a project ends. Material that was shared in confidence is not used as a reference, a showreel item or a case study without the written permission of the client.
14. Warranties and Disclaimers
The studio warrants that it will perform its work with reasonable skill and care and in a professional manner. It does not warrant that a finished master will achieve a particular commercial result, audience response or platform outcome.
The website is provided on an as available basis. The company works to keep it accurate and online, but it does not promise uninterrupted access and does not warrant that every page is free of error at every moment.
To the fullest extent permitted by law, all other warranties, whether express or implied, are excluded. Nothing in these terms limits a warranty or right that cannot lawfully be excluded.
15. Limitation of Liability
To the fullest extent permitted by law, BVenture Media LLC is not liable for indirect, incidental, special or consequential loss, including lost profit, lost opportunity or lost goodwill, arising out of a project or out of use of the website.
The total liability of the studio for any claim connected to a project is limited to the fees paid for the work that gave rise to the claim. This limit applies whether the claim is framed in contract, in tort or under any other theory.
Nothing in this section excludes liability that the law does not allow to be excluded. Where a liability cannot be limited, it is limited only to the smallest extent the law permits.
16. Indemnification
A client agrees to indemnify and hold BVenture Media LLC harmless against any claim, loss or expense that arises from the material it supplied, from a breach of these terms, or from a use of the delivered master that goes beyond the rights the client holds.
The studio will notify the client promptly of any claim that falls within this indemnity and will cooperate in the defence of that claim. The client may not settle a claim in a way that imposes an obligation on the studio without the consent of the company.
This indemnity survives the completion of a project and continues for as long as a claim may arise in relation to the material supplied.
17. Suspension and Termination
Either party may end a project where the other party commits a material breach and does not correct it within a reasonable period after written notice. The studio may also suspend work where an invoice remains unpaid or where the required authority for the material is missing.
On termination, the client pays for the work completed up to that point and for any costs already committed. The studio returns or removes the material according to the instruction of the client, and both parties settle any final balance.
A provision that is intended by its nature to survive termination, such as confidentiality, intellectual property and limitation of liability, continues to apply after the project ends.
18. Force Majeure
Neither party is liable for a failure to perform caused by an event beyond its reasonable control. Such events include natural disaster, war, civil unrest, a public health emergency, a failure of the power or communications network, or an act of government.
The affected party will notify the other promptly and will take reasonable steps to reduce the impact of the event. If the event continues for a prolonged period, either party may end the project without penalty, and the client pays only for the work completed.
19. Governing Law and Disputes
These terms are governed by the laws of the state in which the studio is located, without regard to conflict of law rules. The parties will first attempt to resolve any dispute through good faith discussion before starting formal proceedings.
If a dispute cannot be resolved by discussion, it is submitted to the courts of the governing jurisdiction, unless the parties agree in writing to another forum such as arbitration.
Before any formal step, a party with a concern is invited to write to reach@brightmedia.buzz. Most matters are settled quickly once the facts are shared and the studio has a chance to respond.
20. Changes to these Terms
The company may update these terms from time to time to reflect a change in its services, a change in the law or an improvement in how the agreement is explained. When a change is made, the effective date at the top of the page is updated.
A project that is already under way is governed by the terms in force when it began, unless the client agrees to the updated version. Continued use of the website after an update indicates acceptance of the revised terms.
